Terms of Use

01Purpose

These Terms of Use govern access to and use of the unipole.fr website, as well as the contractual relationship between UNIPOLE SASU (hereinafter "UNIPOLE") and its clients for the provision of artificial intelligence, automation and digital transformation consulting services. Accessing the site or placing an order implies full and unreserved acceptance of these terms.

02Use of the Website

  • Access to the site is free and open to any user with an internet connection.
  • Users agree to use the site in accordance with applicable law and not to disrupt its operation.
  • UNIPOLE reserves the right to suspend or modify the site at any time without prior notice.
  • Any attempt at unauthorised access or damage to the computer system is liable to criminal prosecution.

03Services & Quotes

  • All services are subject to a prior written quote, prepared on the basis of a brief provided by the client.
  • Quotes are valid for 30 days from the date of issue.
  • Acceptance of the quote constitutes acceptance of these Terms and is binding on both parties.
  • UNIPOLE reserves the right to decline any order that is incompatible with its values or capacity.
  • Delivery timelines are indicative and do not constitute a guaranteed deadline unless expressly stated.

04Payment Terms

  • Deposit: 40% of the total amount upon signing the quote.
  • Balance: 60% upon delivery of the project or according to the payment schedule defined in the quote.
  • Accepted payment methods: bank transfer, credit/debit card (via secure payment link).
  • Payment deadline: 30 days from the invoice date for business clients.
  • Late payment will incur penalty interest at 3 times the applicable legal rate, plus a flat-rate recovery fee of €40.

05Subscriptions

  • Certain services (maintenance, hosting, monitoring, support) are offered as monthly or annual subscriptions.
  • Billing: monthly or annually depending on the chosen plan, by direct debit or bank transfer.
  • Cancellation: possible at any time with 30 days' notice before the next billing date.
  • Upon cancellation, amounts already paid for the current period are non-refundable.
  • UNIPOLE reserves the right to modify subscription pricing with 60 days' notice.

06Intellectual Property & Deliverables

  • Source code, specific developments and deliverables produced for the client are transferred to the client in full ownership upon complete payment.
  • Tools, frameworks, libraries and methodologies used by UNIPOLE remain the property of UNIPOLE or their respective authors.
  • UNIPOLE reserves the right to reference the client and the project as a commercial case study, unless otherwise agreed.

07Limitation of Liability

UNIPOLE undertakes to perform its services with care and professionalism. Our liability is limited to the total amount excluding tax of the sums actually paid by the client for the service concerned. UNIPOLE shall not be liable for any indirect damages, data loss, business interruption or loss of profit resulting from the use of delivered solutions.

08Confidentiality

Both parties agree to keep strictly confidential all information exchanged in the context of the services. This confidentiality obligation applies throughout the duration of the contract and for 3 years after its termination. The protection of your personal data is governed by our Privacy Policy.

09Dispute Resolution

In the event of a dispute, the parties agree to seek an amicable solution within 30 days. Failing this, the dispute will be submitted to the courts of competent jurisdiction within the jurisdiction of the Court of Appeal of Versailles. For any complaint: contact@unipole.fr

10Applicable Law

These Terms are governed by French law. In the event of translation, the French version shall prevail.
